Terms and conditions
Last updated: 4 November 2026
These terms and conditions ("Terms") govern every order placed with XBRLVAULT, a proprietorship concern ("XBRL Vault", "we", "us"). By sending documents to us, the person placing the order, on behalf of the company concerned (together, "the Client"), accepts these Terms.
1. Scope of service
- We prepare the XBRL instance document (XML) for Form AOC-4 from the financial statements and reports supplied by the Client, validate it on the MCA validation tool, and provide a key-points report and a PDF for the Client's verification.
- We do not file any form. Filing on the MCA portal, affixing digital signatures, and payment of MCA fees and additional fees remain the responsibility of the company. Filing support may be offered in future on separate terms.
- At present, orders are accepted only where the financial statements are supplied in Excel format.
2. Responsibility for financial statements
The financial statements, auditor's report, directors' report and other documents are prepared and approved by the company, its board and its auditors, who remain solely responsible for them. We convert them as supplied. We do not audit, certify, correct or express any opinion on them. Where documents are inconsistent with each other or with MCA validation rules, we will raise a query, and the decision on any correction rests with the company and its auditors.
3. Draft, verification and approval
- The draft PDF and key-points report are supplied for verification only, bear the watermark "XBRL Vault – Draft for verification only", and must not be used for filing.
- Corrections pointed out by the Client are made and the draft is sent again for verification.
- Approval by the Client, followed by payment, constitutes acceptance of the final XBRL file.
4. Rounding
Figures are reported at the level of rounding confirmed by the Client in writing.
5. Fees and payment
Fees are as displayed on the website at the time of the order. Payment is due after approval of the draft and before download of the final files. Payments are governed by our payments and refunds policy.
6. Timelines
Timelines are set out in our delivery policy and run from receipt of all required documents. Delays caused by incomplete documents, pending replies to queries, or the unavailability of the MCA portal or validation tool are outside our control.
7. Confidentiality and data
Client documents are kept confidential and handled as described in our privacy policy. All files are deleted 90 days after delivery.
8. Limitation of liability
Our total liability in respect of any order shall not exceed the fee paid for that order. We shall not be liable for any indirect or consequential loss, or for any penalty, additional fee or other consequence arising from the content of the documents supplied, delayed supply of documents or approval, or the functioning of the MCA portal.
9. Governing law and jurisdiction
These Terms are governed by the laws of India, and the courts in Chhattisgarh shall have exclusive jurisdiction.
